Foundry will be taken over at the end of the year by Brocade in a move that will broaden its position in the networking market.  the terms of the deal are .0907 brocade shares plus 18.50 cash for every share of Foundry.

As the deal is still half a year away, look for some depreciation for a while and then appreciation as the deal nears.

nice pullback and turning back up... Company has nearly $6 per share in cash. The stock cratered as the government (federal) business dropped hard earlier this year but this is lumpy and could rebound in seasonally strong Q3 ended september. Good seasonal stock to trade. Has $.50 of EPS power excluding interest income if margins can rebound a bit ... so $12.44 - $6 in cash gives it a PE of ~13x... but of course they have to make/beat revenue estimates for that $.50 to come true... anyway, its a bull flag technically so that is what I am using for my entry technique.

Brocade (BRCD) late Friday said it signed a definitive agreement to acquire Foundry Networks (FDRY) for $16.50 a share in cash. The company’s had originally cut a deal at $19.25, then reached a preliminary agreement to cut the purchase price; now they have sealed the deal.

Foundry holders will also receive any proceeds the company generates from the sale of its $50 million portfolio of auction rage securities.

Foundry: Still Selling To Brocade, But Price Cut To $16.50

Foundry Networks (FDRY) has agreed to cut the price at which it will be acquired by Brocade (BRCD) to $16.50 a share in cash from $19.25, the two companies said. The revised price gives the deal a value of $2.6 billion.

Late last week, Foundry shares swooned when the company announced a delay in a planned holder vote on the deal. The worries on the Street were that the deal might be in danger of being scrapped altogether.

Foundry Postpones Vote On Brocade Deal; Stock Plunges

Foundry Networks (FDRY) shares have dropped sharply after the company announced that it has postponed the special holders meeting that had been schedule for today to vote on its proposed acquisition by Brocade (BRCD) until Wednesday, October 29, at 4 p.m. Pacific time.

The company did not explain why the meeting has been pushed back, but investors obvious smell a problem with the deal. Brocade has agreed to acquire Foundry for $19.25 a share in cash.
